This Service Agreement ("Agreement") governs the relationship between Medifyo ("Company", "Agency", "We", "Us") and any individual, business, or organization ("Client", "You") purchasing or using our services.
By purchasing, requesting, or using any service provided by Medifyo, you agree to be bound by the terms outlined in this Agreement.
1. Scope of Services
Medifyo provides professional digital marketing and consulting services, including but not limited to:

Search Engine Optimization (SEO)

Performance Marketing
-
Social Media Marketing
-
TikTok Growth & Viral Campaign Strategies

Artist Promotion & Music Marketing
-
Conversion Rate Optimization (CRO)

Analytics & Tracking Solutions
-
Digital Strategy & Consulting
The specific scope of work shall be defined through proposals, service packages, project agreements, or written communications between Medifyo and the Client.
2. Client Responsibilities
The Client agrees to:

Provide accurate and complete information necessary for project execution.

Grant required access to advertising, analytics, social media, and related platforms.

Respond to requests for feedback, approvals, and materials in a timely manner.
-
Comply with applicable laws, regulations, and platform policies.
-
Refrain from engaging in fraudulent, misleading, or unlawful activities.
Medifyo shall not be held responsible for delays caused by incomplete information, missing access permissions, or lack of client cooperation.
3. Fees and Payments
All service fees are communicated prior to the commencement of work and must be paid according to the agreed terms.
Unless otherwise stated:

Service fees do not include advertising budgets.

Advertising costs are paid directly to the respective advertising platforms.

Payments are non-transferable and non-refundable except where required by law or explicitly agreed in writing.
Medifyo reserves the right to suspend or terminate services in the event of overdue payments.
4. No Guarantee of Results
Medifyo is committed to delivering services with professional care, expertise, and industry best practices.
However, the Client acknowledges that Medifyo cannot guarantee:

Search engine rankings

Advertising performance
-
Revenue growth
-
Lead volume
-
Social media growth
-
Platform approvals
-
Viral reach or engagement
Results may vary based on market conditions, competition, platform algorithms, audience behavior, and other factors beyond Medifyo's control.
5. Intellectual Property
Unless otherwise agreed in writing:

The Client retains ownership of their trademarks, logos, and proprietary content.

Deliverables produced specifically for the Client become the Client's property upon full payment.

Medifyo retains ownership of proprietary methodologies, frameworks, processes, templates, and internal tools.
Medifyo reserves the right to reference completed projects in its portfolio, marketing materials, and case studies unless otherwise agreed.
6. Confidentiality
Both parties agree to keep confidential information private and not disclose such information to third parties without prior written consent.
This obligation shall survive the termination of the business relationship.
7. Third-Party Platforms
Many services provided by Medifyo involve third-party platforms, including but not limited to:

Google

Meta (Facebook & Instagram)

TikTok
-
YouTube
-
LinkedIn
-
Spotify
Medifyo has no control over the policies, algorithms, decisions, outages, or account actions of these platforms and shall not be held liable for any resulting impacts.
8. Limitation of Liability
To the maximum extent permitted by law, Medifyo shall not be liable for:

Indirect or consequential damages

Loss of profits or revenue
-
Loss of business opportunities
-
Advertising account suspensions
-
Platform policy violations by the Client
-
Technical failures caused by third-party services
The total liability of Medifyo shall not exceed the amount paid by the Client for the specific service giving rise to the claim.
9. Cancellation and Termination
Either party may terminate an ongoing service agreement by providing written notice.
Any work completed prior to termination shall remain payable.
Medifyo reserves the right to terminate services immediately if the Client:

Violates applicable laws

Engages in fraudulent activities

Abuses staff members
-
Fails to fulfill payment obligations
10. Modifications
Medifyo reserves the right to update or modify this Agreement at any time.
Updated versions will become effective upon publication on the website.
Continued use of our services constitutes acceptance of any revised terms.
11. Governing Law
This Agreement shall be governed and interpreted in accordance with the laws of the Republic of Türkiye.
Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the competent courts and enforcement offices of Konya, Türkiye.
